Structure of the Chamber

The human side of Swisscham Hungary is made up of the Board, the Supervisory Board, the director who manages the day-to-day activities, and the office assistant and event organizer who helps her.

Board

The Board is the governing body of Swisscham Hungary between general meetings. The members of the Board are the management officials of the association. The Board consists of 15 members, who are elected by the general assembly (all members are entitled to participate in the general assembly of Swisscham Hungary) for 5 years. Swisscham Hungary has a president and three vice-presidents, who are elected by the Board from among the members of the Board – these mandates are also for 5 years. The Board meetings are not open to the public, minutes are prepared. The Board decides on all issues that do not specifically fall within the competence of the general meeting, the president or the director according to the Statutes or legislation. The Board members carry out their activities in social work.

The duties of the Board in particular:

  • manages the activities of Swisscham Hungary
  • convenes the general assembly by indicating the agenda
  • controls the implementation of the resolutions of the General Assembly and the Board 
  • supervises the director’s activities
  • supervises the management of Swisscham Hungary
  • approves the annual budget plan, as well as the draft annual report and balance sheet and submits them to the general meeting,
  • approves the admission of the new member based on the authorization of the Statutes
  • performs all the tasks prescribed by the Statutes, legislation or determined by the general assembly

Supervisory Board

The supervisory board consists of 5 members, who are elected by the general assembly (all members are entitled to participate in the general assembly of Swisscham Hungary) for 5 years. The meetings of the supervisory board are open to the public, minutes are prepared. The supervisory board elects a chairman from among its own members. Supervisory board members carry out their activities in social work.

The supervisory board is entitled:

  • to control the operation and management of Swisscham Hungary
  • to request information and clarification from the Board of Swisscham Hungary
  • to look into and examine Swisscham Hungary’s books and documents
  • to participate in the meetings of the Board with the right to consult

The supervisory board is obliged to inform the general meeting and initiate its convening if it learns that:

  • during the operation of the Chamber, a legal violation or omission occurred, the remedy of which requires a decision of the general assembly
  • a fact has arisen that establishes the responsibility of the management officials

Director

The working organization of the Chamber is managed by the director, who is elected and recalled by the Board. The director performs this activity in an employment relationship and her position is considered a management role, over whom the president exercises the employer’s rights.

Tasks:

  • the implementation of the resolutions of the General Assembly and the Board
  • managing the daily affairs of the Chamber, representing the association within the framework of the Statutes, making and implementing operational decisions within the scope of the association’s activities
  • exercising the employer’s rights over the employee(s).
  • preparing the annual report and the balance sheet and submitting them to the Board
  • preparing the annual budget and submitting it to the Board
  • the preparation of the establishment of the Chamber’s bodies according to the legislation and the Statutes and the election of officials
  • participation in the general assembly and answering questions about the Chamber
  • register of members
  • managing the decisions, organizational documents and other books of the Chamber
  • preservation of documents related to the operation of the Chamber
